RESELLER AGREEMENT THIS RESELLER AGREEMENT ("AGREEMENT"), IS ENTERED INTO BETWEEN YOU ("RESELLER") AND EVINCO SOLUTIONS LIMITED ("EVINCO"). Evinco Solutions Limited Unit 2202, Causeway Bay Plaza 1 489 Hennessy Road, Causeway Bay Hong Kong - NONEXCLUSIVE AGREEMENT RESELLER agrees to resell the software to end users in accordance with the terms of this agreement. This agreement is not exclusive to RESELLER, and EVINCO reserves the unrestricted right to sell and distribute or to grant others the right to sell and distribute the software anywhere in the world. - RELATIONSHIP OF PARTIES Nothing contained in this AGREEMENT shall create or imply any agency relationship, joint venture or partnership between RESELLER and EVINCO. Each party acknowledges and agrees that it is not authorized to bind the other party to any contract or agreement of any nature whatsoever. - INTELLECTUAL RIGHTS RESELLER shall not make any representation or warranty regarding the software products to any third party. All intellectual property rights shall remain with EVINCO. - PRICES RESELLER can order software license via provided URL and purchase the license at a discounted price. RESELLER may set the prices for the software for resale. - LIMITATION OF LIABILITY Best effort has been made by EVINCO to ensure that the software is updated and accurate. EVINCO shall not be liable to RESELLER or any of its customers for any incidental or exemplary damages by using the EVINCO software. - ADDITIONAL REQUIREMENTS RESELLER agrees not to use unsolicited email/spam email to advertise EVINCO software.
